31. SUBSEQUENT EVENTS Pursuant to the Board of Directors resolution dated 8 January 2026, the Group management decided to purchase all of the 15,000 shares held by the other shareholders of its subsidiary Solar Santral Enerji A.Ş.; as a result of this decision, Birleşim Mühendislik became the sole shareholder of its subsidiary with a 100% ownership interest. A contract was signed on 14.01.2026 between the Company and its subsidiary Erde Mühendislik San. ve Tic. A.Ş. and Vega Tesis Yönetim İnşaat Ticaret A.Ş. for the mechanical and electrical installation contracting works of Ankara Medipol Üniversitesi Ümitköy Kampüsü Eğitim ve Araştırma Hastanesi. The contract price is USD 31,860,000 (including VAT), corresponding to TRY 1,375,077,600 (including VAT) at the current exchange rate. The Company and its subsidiary Erde Mühendislik San. ve Tic. A.Ş. signed the final contract on 04.03.2026 for the Mechanical and Electrical Installation Works of the Samsun Dünya Göz Hastanesi Project. The contract price is TRY 91,000,000 (excluding VAT) for the Company and TRY 89,000,000 (excluding VAT) for Erde Mühendislik, totaling TRY 216,000,000 (including VAT). The Company and its subsidiary Erde Mühendislik San. ve Tic. A.Ş. submitted a bid for the tender relating to the Mechanical and Electrical Installation Works of the Ankara Adalet Sarayı C Blok Project, and the employer REC Uluslararası İnşaat Yatırım San. ve Tic. A.Ş. notified that the tender was awarded in their favor. 32. OTHER MATTERS None.
